Commercial Real Estate Transactions
Our Firm represents landlords, tenants, purchasers and sellers of commercial real estate with a "result" oriented approach in all aspects of real estate law.

Beginning with the initial negotiations we advise clients of unforeseen risks and opportunities to arrive at an optimal term sheet. We then prepare or review all appropriate documents which may include:

We ensure proper recording of title documents and obtain discharge of liens, including tax and construction liens, to give the transaction full force and effect.

We are accomplished at dealing with the additional requirements necessary to ensure that zoning and use restrictions are appropriate for the intended use by the purchaser. Inspections and analysis by architects and structural engineers are performed and documented, and environmental inspections appropriate for the land and structure are completed. We have found that issues such as asbestos or soil contamination do not necessarily preclude a sale or purchase of the real estate and have, on many occasions, successfully provided for appropriate remediation and approval by regulatory authorities. Likewise, our familiarity with financial markets allows us to help our clients meet their objectives.

The Firm has also represented clients in “1031” tax free exchanges in excess of $10 million for multiple parcels subject to long term leases with national drug store chains. This process has enabled our clients to defer any tax on the gain from the sale of “like kind” real estate and transfer the basis of the sold property to the new holding.

We are always mindful that our client's goal is to complete the proposed transaction on favorable terms. We view our role as assisting our clients to achieve that objective, while ensuring that their legitimate interests are protected.
